In order to help make our site (“Web site”) a trustworthy and safe place to buy goods, all users (“you”, “your” or “Subscriber”) of our service are required to accept and comply with our Web Site Use Agreement, which includes acceptance of, and compliance with, all of the terms and conditions provided herein, as amended from time to time. This Web site provides an Internet-based venue for the marketing, sale and purchase of Products distributed by Global Energy Innovations and manufactured by Global Energy Innovations. This Web Site Use Agreement explains the contractual agreement between you and us regarding your use of our Web site, as well as the terms and conditions applicable to your purchase of Products on our Web site (collectively, the “Terms of Use”).

We may amend the Terms of Use at any time by posting amended terms on the Web site. Amended Terms of Use shall be effective upon the date of posting, or such later date specified therein, and shall apply to your use of our Web site or purchase of Products beginning with such effective date. We may add, delete, modify or substitute the Products offered on our Web site, the pricing for such Products or any other Web site content in our sole discretion at any time. Your use of the Web site signifies your legal and binding agreement to all the terms and conditions set forth in this Web Site Use Agreement, in any privacy policy, as well as any other agreement related to your use of this Web site including, but not limited to, any terms and conditions of purchase

Payments & Cancellations – US and International

The invoiced amount is payable and due in U.S. Dollars within 30 days from date of invoice on approved credit, unless otherwise stated in writing by Global Energy Innovations. Global Energy Innovations may modify payment terms if, in its sole opinion, the payment record or financial condition of Buyer warrants. Late payments are subject to penalties as follows: Delinquent accounts will accrue interest penalties at the rate of 2.5% of the delinquent balance per month. The first interest penalty of 2.5% of the delinquent balance will be levied on the first day following the account becoming delinquent. Interest will accrue on a daily basis thereafter, with compounding taking place on the first day of each calendar month the account remains delinquent. Prices exclude any tax or duty now or hereafter imposed upon the production, storage, sale, transportation, or use of the products.

Orders may only be cancelled, rescheduled or redirected with Global Energy Innovations’ written consent and re subject to cancellation or reschedule charges determined by Global Energy Innovations.

Goods and Services

Buyer’s acceptance of goods and /or services shall constitute acceptance of these terms and conditions. Terms or provisions of Buyer’s order that are inconsistent with or in addition to Global Energy Innovations’ terms and conditions shall not be binding unless accepted in writing by Global Energy Innovations. Global Energy Innovations’ failure to object to any provision contained in a communication from Buyer shall not be acceptance of these terms and conditions. If any terms or conditions of sale are declared by an arbitrator, or court or other body having jurisdiction, to be invalid or unenforceable, the remaining terms and provisions shall remain in full force and effect.  All transactions shall be governed by the laws of the state of Delaware, U.S.A.

Restriction of Use

All information, services, related graphics, and other materials available on this Site (collectively the “Content”) are owned or licensed by Global Energy Innovations. The Content of this Site is protected by copyright laws, international copyright treaties, or other intellectual property laws and treaties. Except as specifically provided herein, or otherwise specifically provided by Global Energy Innovations in writing or by the terms of any license agreement that accompanies or is provided with any Content (“License Agreement”), you may not modify the content of this site in any work or download, copy, reproduce or publicly display, distribute or otherwise use the content in any form or by any means for any public or commercial purpose.

Global Energy Innovations authorizes you to view, download, reproduce, display and distribute the Content posted on this Site only for your personal an non-commercial use, unless specifically authorized to do otherwise by Global Energy Innovations in writing or as provided by the terms of any License Agreement. Any authorized download, reproduction or display of the Content must retain all copyright and proprietary notices as they appear in the Content. If you breach any of these Terms, your authorization to use this Site automatically terminates and you must immediately destroy any downloaded or printed materials.

User Accounts and Passwords

You are solely responsible for maintaining the confidentiality of any Subscriber name and password and are fully responsible for all activities that occur under your password or account. You agree to (i) immediately notify Distributor of any unauthorized use of your password or account or any other breach of security, and (ii) ensure that you exit from your account at the end of each session. Distributor cannot and will not be liable for any loss or damage arising from your failure to comply with this provision.

You agree to provide accurate and complete information as requested by the applicable registration form. In addition, you agree that you will not impersonate any person or entity, and will not falsely state or otherwise misrepresent your affiliation with any person or entity. Global Energy Innovations may, in its sole discretion, terminate the accounts or access rights of users who may have provided inaccurate or incomplete information during registration or thereafter.

Software and other material that is made available to download as Content from the Site (“Downloaded Material”) is the copyrighted or licensed work of Global Energy Innovations and /or its suppliers. Use of the Downloaded Material is governed by the terms of the end user license agreement, if any, that accompanies or is included with the Downloaded Material. The Downloaded Material is made available for download solely for use by end users and strictly in accordance with the terms of the License Agreement. Any creation of derivative works, reproduction, redistribution, decompiling, reverse engineering, disassembly, or otherwise converting the Downloaded Material to a perceivable form not in accordance with the License Agreement is expressly prohibited, and may result in civil and criminal penalties.

Changes

Global Energy Innovations and its suppliers reserve the right to change product design or specifications at any time without notice.

Limitation of Liability

Global Energy Innovations products are warranted to be free from defects in material and workmanship under normal use and service. The warranty period is controlled by the documents furnished with each product and begins on the date of shipment to the end user. In the case of purchases from our Website, the warranty period begins on the date of shipment. Evidence of the purchase date and payment must be kept for the life of the warranty, and produced on demand by Global Energy Innovations. Parts, product repairs and services are warranted for 90 days. This warranty extends only to the original buyer or end-user customer of Global Energy Innovations or a Global Energy Innovations’ authorized reseller, and does not apply to internal batteries, fuses or to any product which, in Global Energy Innovations’ opinion, has been misused, altered, neglected or damaged by accident or abnormal conditions of operation or handling. Global Energy Innovations does not warrant that software or firmware will be error free or operate without interruption. Warranty support is available only if product is purchased through Global Energy Innovations or a Global Energy Innovations’ authorized reseller. Global Energy Innovations reserves the right to invoice Buyer for importation costs of repair/replacement parts when product purchased in one country is submitted for repair in another country.

Global Energy Innovations shall not be liable for any special, indirect, incidental or consequential damages or losses, including loss of data, whether arising from breach of warranty or based on contract, tort, reliance or any other theory. Since some countries or states do not allow limitation of the term of an implied warranty, or exclusion or limitation of incidental or consequential damages, the limitations and exclusions of this warranty may not apply to every buyer.
